CommerceandWebTechnology(EC-Web2004)heldinconjunctionwithDEXA 2004
in Zaragoza, Spain. This conference, ?rst held in Greenwich, United
Ki- dom in 2000, now is in its ?fth year and very well established.
As in the four previous years, it served as a forum to bring
together researchersfrom academia and commercial developers from
industry to discuss the current state of the art in e-commerce and
Web technology. Inspirations and new ideas emerged from intensive
discussions during formal sessions and social events. Keynote
addresses, research presentations and discussions during the c-
ference helped to further develop the exchange of ideas among the
researchers, developers and practitioners present. The conference
attracted 103 paper submissions and almost every paper was reviewed
by three program committee members. The program committee - lected
37 papers for presentationand publication, a task which was not
easy due to the high quality of the submitted papers. We would like
to express our thanks to our colleagues who helped with putting
together the technical program: the program committee members and
external reviewers for their timely and rigorous reviews of the
papers, and the organizing committee for their help in the
administrative work and support. We owe special thanks to Gabriela
Wagner, Mirella Koster, and Birgit Hauer for their helping hands
concerning the administrative and organizational tasks of this
conference. Finally,

Although only a few years old, electronic commerce offers new ways
of doing business that no business can afford to ignore. This book
is a collection of selected contributions from renowned researchers
who specialize in the various facets of electronic commerce, namely
economics, finance, information technology, and education. The
basic goal is to give an overview of some of the most relevant

Deutsch, Abstract: Die Europaische Aktiengesellschaft, auch
bezeichnet als Europa-AG oder Europaische Gesellschaft, abgekurzt
als SE vom Lateinischen Societas Europaea" stammend, ist eine
supranationale Gesellschaftsform auf Ebene der Europaischen Union
und im Europaischen Wirtschaftsraum (EWR). Im Jahre 2001 wurde
durch Erlass der Verordnung (EG) Nr. 2157/2001 des Rates vom 8.
Oktober 2001 (SE-VO) eine erste Rechtsgrundlage fur die Europaische
Aktiengesellschaft geschaffen. Die Idee, solch eine
Gesellschaftsform zu normieren und eine einheitliche Regelung zu
finden, wurde bereits im Jahre 1959 angedacht. Nach Versuchen in
den Jahren 1970 und 1975 eine einheitliche Kodifikation zu
erarbeiten, die an Bedenken insbesondere bzgl. der
Arbeitnehmer-Mitbestimmung einiger Mitgliedsstaaten scheiterten,
wurde ein zweiter Versuch zwischen 1985 und 1991 unternommen, der
lediglich in zwei Verordnungsentwurfen endete. Erst nach Einsetzung
einer Expertengruppe und nach einem Kompromiss im Jahr 2000 konnte
sich der Europaische Rat auf eine gemeinsame Linie bzgl. der SE-VO
einigen, sodass diese im Oktober 2001 erlassen wurde und zum 08.
Oktober 2004 in Kraft trat. Begleitend wurde die bis dato strittige
Arbeitnehmer-Mitbestimmung in der Richtlinie 2001/86/EG (SE-RL)
geregelt. Im Nachfolgenden soll in dieser Arbeit auf die Frage
eingegangen werden, inwiefern die SE eine Alternative zur
Aktiengesellschaft nach dem Aktiengesetz darstellt. Wird zunachst
auf die Rechtsquellen und die Rechtsnatur der SE eingegangen, folgt
eine Darstellung der Grundungsvoraussetzungen der SE, wo primar die
Holding-SE und das monistischen System im Fokus stehen.
Thematisiert werden ebenfalls wirtschaftliche Erwagungen fur die
Grundung einer SE, sowie derer gesellschaftsrechtliche Vorteile,
