Kapitalgesellschaften werden bei der Jahresabschlusserstellung regelm ig durch mehrere Instanzen hinsichtlich der regelkonformen Anwendung der Rechnungslegungsvorschriften berwacht. Nach der Abschlusserstellung erfolgen gegebenenfalls interne Kontrollen, bevor ein unabh ngiger Abschlusspr fer t tig wird. F r kapitalmarktorientierte Unternehmen folgt der zweistufige Enforcementmechanismus. Die Deutsche Pr fstelle f r Rechnungslegung, sowie auf zweiter Ebene, die Bundesanstalt f r Finanzdienstleistungsaufsicht untersuchen den Jahresabschluss. Dabei stellte die Deutsche Pr fstelle f r Rechnungslegung im Jahr 2008 unter 138 untersuchten Jahresabschl ssen nach International Financial Reporting Standards kapitalmarktorientierter Unternehmen eine Fehlerquote von 27 % fest. Mittelst ndische Kapitalgesellschaften und insbesondere die im Mittelstand stark vertretene Gesellschaft mit beschr nkter Haftung sind meist nicht kapitalmarktorientiert. Aus diesem Grund erstellen sie handelsrechtliche Jahresabschl sse und werden von dem Enforcementmechanismus nicht erfasst. Deshalb versucht die vorliegende Untersuchung die folgende Frage zu beantworten: Entsprechen die handelsrechtlichen Jahresabschl sse mittelst ndischer Unternehmen den an sie gestellten Anforderungen bzw. inwiefern sind Fehler oder unzureichende Angaben festzustellen?

Mit der Verabschiedung des Bilanzrechtsmodernisierungsgesetzes wurde fur die handelsrechtliche Rechnungslegung das Ziel formuliert, eine Abkopplung von der steuerlichen Bilanzierung zu erreichen und die Informationslage der Jahresabschlussadressaten zu verbessern. Trotz dieser Zielsetzung kommen weiterhin die steuerlichen Leasingerlasse zur Anwendung, die jedoch zu einer 'Alles-oder-Nichts'-Entscheidung bei der Leasingobjektzurechnung fuhren und deshalb den wirtschaftlichen Gehalt eines Leasingvertrages nicht korrekt erfassen konnen. Somit ist die Zielsetzung des Bilanzrechtsmodernisierungsgesetzes verfehlt, die Informationsfunktion des Jahresabschlusses zu starken. Deshalb sucht diese Studie alternative Zurechnungs- bzw. Bilanzierungsvorschriften fur Leasingvertrage, die der Zielsetzung der handelsrechtlichen Rechnungslegung gerecht werden, also ein den tatsachlichen Verhaltnissen entsprechendes Bild der Vermogens- Finanz und Ertragslage zu vermitteln. Dazu werden insbesondere die Vorschriften zur internationalen Leasingbilanzierung herangezogen, also der Standard zur Leasingbilanzierung nach IFRS, IAS 17 und der kurzlich veroffentlichte Exposure Draft 'Leases' mit seinem Right-of-Use-Ansatz. Als Nebenziel wurde trotz der veranderten Zurechnungs- bzw. Bilanzierungsvorschriften eine weitestgehend unveranderte Steuerbelastung gesetzt. Um die vorgenannten Untersuchungsziele zu erreichen, wird in einem ersten Schritt die aktuelle steuer- und handelsrechtliche Leasingbilanzierung dargestellt, getrennt nach Zurechnungs- und Bilanzierungsvorschriften. Im Anschluss daran wird eine Vergleichsbasis geschaffen, die es erlaubt, die Steuerbelastung auf Basis der steuer- und handelsrechtlichen Leasingbilanzierung mit der Steuerbelastung entsprechend der internationalen Leasingbilanzierung zu vergleichen.
