It considers dealings in securities under the traditional direct holding system and under the modern system of holding through intermediaries. Various theories and legislative reforms have been suggested in an attempt to resolve these two methods, and the book examines the extent to which they provide a viable solution.

Lessons Not Learned - 10 Steps to Stable Financial Markets (Paperback, 1): Susanne Trimbath Lessons Not Learned - 10 Steps to Stable Financial Markets (Paperback, 1)
Susanne Trimbath
R811 Discovery Miles 8 110 Ships in 12 - 19 working days

Much has been written and spoken about the lessons learned from the financial crisis of 2009. This book deals with the lessons not learned before the financial crisis. Dr Trimbath demonstrates that an existing framework for regulating financial systems, available since at least 2001, could have prevented the systemic failure in the US that led to the collapse of global credit markets in 2008. Step by step the book guides you through what could have been done to prevent the crisis and what investors can do to protect themselves from the next one, and concludes with a key idea for making financial services businesses stand out from the crowd ensuring future success. The list of 10 Steps is quite straight-forward and simple. Have private, independent rating agencies. Provide some government safety net but not so much that banks are not held accountable (""Too Big to Fail"") Allow very little government ownership and control of national financial assets. Allow banks to reduce the volatility of returns by offering a wide-range of services. Require financial market players to register and be authorized. Provide information, including setting standards, to enhance market transparency. Routinely examine financial institutions to ensure that the regulatory code is obeyed. Enforce the code and discipline transgressors. Develop policies that keep the regulatory code up to date. Encourage the creation of specialized financial institutions. For each step the reader will find: the legislative and regulatory background on the existing rules; a review of academic research on the theory behind each step; and the facts and data connecting each step to the financial crisis of 2008.

Christopher May
R1,447 Discovery Miles 14 470 Ships in 12 - 19 working days

This book offers a concise and accessible overview and analysis of the place of large multinational and regional corporations in the political economy of global governance.May argues that not only do corporations have an impact on the institutions of global governance, but they must be understood as a multifaceted institution of global governance in their own right, controlling and shaping significant aspects of the global political economy. Topics include: What are global corporations? Corporations and global governance The legal personality of the corporation Corporations and power Corporations and tax The future role of corporations in a post crisis global system Highlighting the central role of corporations in the generation and reproduction of norms in global governance, this work shows that corporations' practices and relations are themselves both subjects, and sources of, global governance. The Auditor - Quo Vadis? (Paperback): Mervyn King, Linda De Beer The Auditor - Quo Vadis? (Paperback)
Mervyn King, Linda De Beer
R1,173 Discovery Miles 11 730 Ships in 12 - 19 working days

The audit profession is at a tipping point. Without significant innovation in its business model, staff recruitment strategies and audit execution processes, the audit profession may not remain relevant in the 21st century. The number of claims against auditors has significantly increased over the past twenty years due to the spate of corporate and audit failures early in the 21st century (Enron, Worldcom, Parmalat, etc.). Regulation to monitor professional and ethical standards has increased, leading audit firms to feel under even more financial pressure. In addition, the investor community is calling for greater insight and foresight from auditors. These challenges, coupled with the unlimited liability regime of auditors still applicable in many jurisdictions, are making audit firms and regulators nervous as to the systemic risk of another one of the Big 4 failing.

And yet, the audit profession is in place to protect businesses, their wider stakeholder groups, including clients and investors, and society at large. Therefore, this book asks the important question about the profession’s future and engages a broad readership in the discussion of audit failure and reform.

Intended to help readers to get up to speed with the issues and possible solutions quickly, this book assists directors, investors, business people and regulators, especially those with a non-financial background, to gain a greater understanding of the challenges and threats being faced by the audit profession, which in turn could disrupt the capital market and affect businesses across the globe. The book outlines the critical success factors needed for a sustainable audit profession.

Financial Conglomerates and the Chinese Wall - Regulating Conflicts of Interest (Hardcover): Harry McVea Financial Conglomerates and the Chinese Wall - Regulating Conflicts of Interest (Hardcover)
Harry McVea
R3,951 Discovery Miles 39 510 Ships in 12 - 19 working days

The growth of financial conglomerates, offering a range of services hitherto unprecedented, has caused problems for regulators. While conglomerates bring with them many economic benefits (diversification of risk, economies of scope, etc) they also impose costs (systemic risk and conflict of interest abuses). Regulators must ensure that the regulation imposed is sufficiently strong to eradicate these abuses, but at the same time, flexible to allow the benefits of conglomeration to be secured. The Chinese Wall - a regulatory mechanism aimed at stemming the flow of information between one department in a firm to another department, and reconciling conflicts of interest more generally - is singled out for special treatment. The legal position of the device, which has become all the more important in the wake of the recent Law Commission inquiry into the relationship between the Financial Services Act 1986 (and the rules made thereunder) and the general law, is considered in detail. Harry McVea argues that an effective Chinese Wall will in most cases be legally sufficient to absolve a firm from potential liability at general law, but that there are situations where Chinese Walls are not

This volume critically re-examines the profession's understanding of asset bubbles in light of the global financial crisis of 2007-09. It is well known that bubbles have occurred in the past, with the October 1929 crash as the most demonstrative example. However, the remarkably well-behaved performance of the US economy from 1945 to 2006, and, in particular during the Great Moderation period of 1984 to 2006, assured the economics profession and monetary policymakers that asset bubbles could be effectively managed with little or no real economic impact. The recent financial crisis has now triggered a debate about the emergence of a sequence of repeated bubbles in the Nasdaq market, housing market, credit market and commodity markets. The Greenspan-Bernanke Federal Reserve has followed an asymmetric approach to bubble management. This method advocates no monetary policy action during the bubble formation and growth, but a speedy response with a reduction in market rates when a bubble bursts to reduce the potential loss of output and employment. It was supported by academic research and seemed to work well until September 2008 when the financial system came close to a complete collapse. The realities of the recent financial crisis have intensified theoretical modeling, empirical methodologies, and debate on policy issues surrounding asset price bubbles and their potentially considerable adverse economic impact if poorly managed. Choosing to take a novel approach, the editors of this book have selected five classic papers that represent accepted thinking about asset bubbles prior to the financial crisis. They also include original papers challenging orthodox thinking and presenting new insights. A summary essay by the editors highlights the lessons learned and experiences gained since the crisis.

Intersections Between Corporate and Antitrust Law (Hardcover): Marco Corradi, Julian Nowag Intersections Between Corporate and Antitrust Law (Hardcover)
Marco Corradi, Julian Nowag
R2,851 Discovery Miles 28 510 Ships in 12 - 19 working days

Recent public debate on common ownership by institutional investors has brought awareness to one of the many intersections between the corporate and antitrust worlds. But the interplay between these two fields dates back to the dawn of US antitrust. This volume shines a light on the often underplayed and misunderstood connections between antitrust and corporate law and finance. It offers a multi-disciplinary perspective on highly trending issues, such as parallel equity holdings, interlocking directorships, the anticompetitive effects of certain corporate governance arrangements, and the relationships between ESG and not-for profit activities with antitrust law. This edited collection brings together leading experts from across the US, Europe, and Asia and provides a cross-border perspective on alternative policy approaches for the field.

The Responsible Corporation in a Global Economy (Hardcover): Colin Crouch, Camilla Maclean The Responsible Corporation in a Global Economy (Hardcover)
Colin Crouch, Camilla Maclean
R3,882 Discovery Miles 38 820 Ships in 12 - 19 working days

No longer only the domain of corporate public relations, corporate social responsibility (CSR) has now become a serious concern for many firms and a major sphere of academic research. However, most strikingly, by encouraging corporations to play a role in economic governance, particularly at the global level, CSR also raises issues for political science, public policy, and the world of politics as a whole.
In this volume, authors consider what defines a 'responsible' corporation, examining such debates as: the implications of corporations setting standards for such matters as products and labour conditions, and thus playing more than a market role in the global economy; how the concept of corporate citizenship has been applied to the role of firms in corporate responsibility initiatives and what this means in terms of rights and responsibilities, and for citizenship in general; and whether corporate responsibility is compatible with shareholder maximization, specifically in the context of the global economy
Bringing together academics and practitioners, this volume examines the increasingly important arena of global economic governance and the role played by major corporations from a diverse range of perspectives. It will be of particular interest to academics, researchers, and students of Business, Political Science, and other social sciences, as well as business practitioners interested in CSR.

Liquidity and Crises (Hardcover): Franklin Allen, Elena Carletti, Jan Pieter Krahnen, Marcel Tyrell Liquidity and Crises (Hardcover)
Franklin Allen, Elena Carletti, Jan Pieter Krahnen, Marcel Tyrell
R2,659 Discovery Miles 26 590 Ships in 12 - 19 working days

Financial crises have been pervasive for many years. Their frequency in recent decades has been double that of the Bretton Woods Period (1945-1971) and the Gold Standard Era (1880-1993), comparable only to the period during the Great Depression. Nevertheless, the financial crisis that started in the summer of 2007 came as a great surprise to most people. What initially was seen as difficulties in the U.S. subprime mortgage market, rapidly escalated and spilled over first to financial markets and then to the real economy. The crisis changed the financial landscape worldwide and its full costs are yet to be evaluated. One important reason for the global impact of the 2007-2009 financial crisis was massive illiquidity in combination with an extreme exposure of many financial institutions to liquidity needs and market conditions. As a consequence, many financial instruments could not be traded anymore, investors ran on a variety of financial institutions particularly in wholesale markets, financial institutions and industrial firms started to sell assets at fire sale prices to raise cash, and central banks all over the world injected huge amounts of liquidity into financial systems. But what is liquidity and why is it so important for firms and financial institutions to command enough liquidity? This book brings together classic articles and recent contributions to this important field of research. It is divided into five parts. These are (i) liquidity and interbank markets; (ii) the public provision of liquidity and regulation; (iii) money, liquidity and asset prices; (iv) contagion effects; (v) financial crises and currency crises. The aim is to provide a comprehensive coverage of role of liquidity in financial crises.

Survey Research in Corporate Finance - Bridging the Gap between Theory and Practice (Hardcover): H. Kent Baker, J.Clay... Survey Research in Corporate Finance - Bridging the Gap between Theory and Practice (Hardcover)
H. Kent Baker, J.Clay Singleton, E. Theodore Veit
R3,294 Discovery Miles 32 940 Ships in 12 - 19 working days

Corporate finance is a multifaceted discipline in which everything works in theory but not necessarily in practice. To bridge this gap, intelligently designed and executed surveys are essential in empirically validating conceptual hypotheses and the relative usefulness of various theories.
Survey Research in Corporate Finance is a unique summary of state-of-the-art survey research in finance. Baker, Singleton, and Veit catalog and discuss the most important contributions to the field and provide a longitudinal perspective unavailable anywhere else. They offer an objective look at the role survey research in finance should play and illustrate the general and particular aspects of the form this research should take, how it is typically carried out, and how it should ideally be carried out, taking into account considerations developed throughout the book.
The book provides financial researchers with a useful overview of survey methodology, synthesizes the major streams or clusters of survey research in corporate finance, and offers a valuable resource and guide for those interested in conducting and reading survey research in finance. Because a variety of views exist on the role of survey research in corporate finance, the authors present key findings from the varying perspectives of finance academics, finance journal editors, and finance practitioners.
Synthesizing survey results on major issues in finance and offering knowledge learned from years of communications between academics and practitioners, Survey Research in Corporate Finance enables students and scholars of finance, as well as decision makers in many different kinds of firms, to actually determine how the theories on which their work is based actually play out in practice. This book is an essential, one-of-a-kind reference for any practitioners or academics interested in survey research in corporate finance.

The Routledge Companion to Management Buyouts (Hardcover): Mike Wright, Kevin Amess, Nick Bacon, Donald Siegel The Routledge Companion to Management Buyouts (Hardcover)
Mike Wright, Kevin Amess, Nick Bacon, Donald Siegel
R6,781 Discovery Miles 67 810 Ships in 12 - 19 working days

Management Buyouts (MBOs) first came to prominence in the US during the early 1980s, and have subsequently become a global phenomenon and a highly significant transaction within the corporate restructuring landscape Although much recent attention has focused on private equity (PE) backed buyouts, these are only a subset of the total MBO market. The Routledge Companion to Management Buyouts takes a much broader definition, reviewing the current state of research and theory and where further developments are likely to occur and incorporating PE and non-PE backed buyouts, as well as variations such as management buy-ins and management-employee buyouts. It goes beyond the purely financial perspective, exploring the many different aspects of management buyouts and incorporating related disciplines including strategy, organizational change, and HRM providing the first truly comprehensive authoritative resource on the topic. Expertly edited, and drawing on international scholarship, this unique volume will be an invaluable sourcebook on MBOs for researchers and advanced students as well as those interested in the broader areas of corporate restructuring and ownership change.

Employee Communication During Mergers and Acquisitions (Hardcover, New edition): Jenny Davenport, Simon Barrow Employee Communication During Mergers and Acquisitions (Hardcover, New edition)
Jenny Davenport, Simon Barrow
R3,726 Discovery Miles 37 260 Ships in 12 - 19 working days

Communication is the key to organisational success and nowhere is this truism more apparent than in the influence of internal communication during a transformational process as dramatic as a merger or acquisition. During the complex process of bringing the two sets of employees together, continuous effort is crucial for keeping in touch with how people feel; communicating information clearly across both bidder and target; and beginning the process of creating a new culture for the merged company. Communication is vital, but information on what to do when and how to overcome, or at least minimise, the practical problems inherent in trying to communicate at a time when there is often little news, and when so much must remain confidential is essential. Employee Communication During Mergers and Acquisitions provides a blueprint for your internal communication during a merger or acquisition, it contains checklists, examples and tables to help busy communication and integration teams by providing them with practical guidance and examples of what they should consider. The authors start with the genesis of your strategy and the statutory framework before the partner company has been identified, then move on to each of the stages of negotiation, merger announcement, pre-merger preparation, and in the critical first 100 days, following the merger. The book includes chapters exploring the process of developing the employer brand for the new entity as well as of measuring and building on the success of your strategy and is illustrated throughout by a range of case studies.

The author uses both an inductive and deductive approach in shaping the proposed framework, and includes the perspective of practitioners and academics on the topic. Based on a multiple case study in listed companies and a survey administered to small and medium enterprises, this book provides readers with valuable insights to adapt the proposed framework in different business contexts.
