The trends towards increased mobility and global business connections force workers and managers alike to communicate faster using multiple new types of media. At the same time, the means of communication must become easier to use and more secure, because the statically localized workplace of today will dissolve in the near future into a distributed and highly mobile multi-media communication platform. As the need for - or the freedom of - mobility as part of altering life styles becomes more and more commonplace, new tools are required that support these new forms of life and work, also called Virtual Workplaces. Neben der Befassung mit Grundsatzfragen des gesonderten und einheitlichen Feststellungsverfahrens ist es ein erstes Hauptanliegen dieser Publikation, die zunachst begrundete materiell-rechtliche Subjektivitat von Mitunternehmerschaften in das Verfahrensrecht zu implementieren. Es wird dargestellt, dass diesen bereits de lege lata eine eigenstandige prozedurale Stellung eingeraumt werden kann und es vorzugswurdig erscheint, sie als Verfahrensbeteiligte zu integrieren. Der zweite Schwerpunkt dieser Arbeit widmet sich vorwiegend dem Umfang des Feststellungsverfahrens. Dessen fortwahrender Ausweitung, insbesondere hinsichtlich der Sonderbetriebsspharen, wird ein Alternativmodell entgegengestellt, welches das Verfahren zweck- und interessengerecht wieder seiner eigentlichen Intention zufuhren soll.

Diese Publikation widmet sich dem Spannungsverhaltnis der Sonderregelungen uber Verpflichtungsubernahmen ( 4f, 5 Abs. 7 EStG) zum Umwandlungssteuerrecht. Hierfur werden zunachst die bilanzrechtlichen Grundlagen, die Rechtsentwicklung und die allgemeinen Auslegungsprobleme im Kontext der 4f, 5 Abs. 7 EStG untersucht. In einem weiteren Schritt werden die Grundlagen des Umwandlungssteuerrechts dargestellt. Sodann werden im Kern der Untersuchung die Ausgangsuberlegungen zusammengefuhrt. Dieses Vorgehen ermoeglicht es, die bisher unzureichend untersuchte Frage der Anwendbarkeit der 4f, 5 Abs. 7 EStG auf Umstrukturierungsvorgange im Sinne des Umwandlungssteuergesetzes einem Loesungsvorschlag zur Aufloesung der Problematik zuzufuhren.

Diese Arbeit widmet sich einem Schnittstellenbereich aus Einkommensteuerrecht, Insolvenzrecht und Personengesellschaftsrecht. Um der Einkommensbesteuerung in der insolventen Personengesellschaft auf den Grund zu gehen, wendet sich die Verfasserin zunachst grundlegend Problemen aus den einzelnen Schnittstellen zu, bevor die daraus gewonnenen Erkenntnisse zusammengefuhrt werden. So ist es moeglich, die wenigen AEusserungen in Rechtsprechung und Literatur zu dieser Thematik systematisch aufzubereiten und einen eigenen Loesungsvorschlag zur Aufloesung der Problematik zu erarbeiten.

Der Autor untersucht, beginnend mit der Rechtssache Kommission/Frankreich ("avoir fiscal") und mit Fokus auf der Niederlassungs- sowie der Kapitalverkehrsfreiheit, die Rechtsprechung des Europaischen Gerichtshofs zu ertragsteuerlichen Vorschriften der Mitgliedstaaten. Anhand mehrerer Schwerpunkte zeigt er auf, dass sich die fruhere freiheitsbetonende Judikatur nicht zu einer fur den Binnenmarkt positiven Linie verstetigen konnte. Die Betrachtung thematisiert unter Einbeziehung und Auseinandersetzung mit der Literatur sowie der deutschen Finanzgerichtsbarkeit diese Entwicklung in kritischer Weise. Im Ergebnis pladiert der Autor trotz einer geringer werdenden Wahrscheinlichkeit fur ein harmonisiertes europaisches Steuerrecht.
