Depuis plus de vingt ans, la firme connait un certain nombre de changements, dont l'importance croissante du capital humain et le mouvement de desintegration verticale. Ces changements conduisent a renouveler l'approche de la gouvernance d'entreprise. Dans cette perspective, nous examinons tout d'abord la maniere dont les theories de la firme structurent la problematique de la gouvernance d'entreprise. Au-dela de la traditionnelle opposition entre valeur actionnariale et valeur partenariale, nous defendons, ensuite, une vision alternative que nous qualifions de 'multi-ressources'. Le modele associe vise a motiver les partenaires cles au travail pour reguler le pouvoir qu'ils detiennent sur les ressources critiques de la firme.
