Die Primarfunktionen des Eigenkapitals beziehen sich auf die Haftung und Kontinuitat der Gesellschaft und tangieren somit den Glaubigerschutz. Bei den vom Gesetzgeber erhobenen Auflagen zur Bilanzierung des Eigenkapitals stehen die Kapitalgesellschaften im Mittelpunkt. Die Reglementierungen bei den Personengesellschaften sind im direkten Vergleich maginal. Im Gegensatz zu Personengesellschaften besitzen Kapitalgesellschaften eine beschrankte Haftung auf das Gesellschafts-vermogen, wahrend die Gesellschafter einer Personengesellschaft mit ihrem gesamten Vermogen haften. Dieser Haftungsunterschied begrundet die ungleiche Verteilung der Vorschriften und gesetzlichen Auflagen bei Personengesellschaften und Kapitalgesellschaften. Ein weiterer Grund fur die Dominanz der gesetzlichen Reglementierungen bei Kapitalgesellschaften ist die Rechtspersonlichkeit der Unternehmung, die durch naturliche Personen vertreten wird. Die Kapitalgesellschaften konnen aufgrund der zwischengeschalteten juristischen Person und der beschrankten Haftung fur betrugerische Absichten missbraucht werden. Diese Eigenschaften existieren bei der Personengesellschaft nicht, da die Gesellschafter mit ihrem vollen Vermogen haften.
