The newest volume in Kluwer's series of comparative analyses of
Member State law and the Principles of European Contract Law
(PECL), this book not only provides an introduction to German law
for lawyers familiar with the PECL but also serves as a model for
"reconnecting" the contract law of the European Union with that of
the Member States. Although the Principles were by design distilled
from the laws of the Member States, one of the arguments most
frequently advanced for opposing the introduction of a EU contract
law is that it would not be in line with national principles of
contract law. The in-depth comparison presented here may help to
refute or confirm such doubts and serve as a yardstick to measure
how far EU law really has disconnected from the traditions of the
Member States. Using a straightforward comparative method, the
analysis not only reveals a significant area of convergence between
the PECL and German contract law, but also highlights the main
differences between the two bodies of rules. The reasons for these
differences, both legal and non-legal (historical, social,
economic), are clearly set forth. Aspects of the relevant laws
covered include the following: scope of application, general
duties, terminology; offer and acceptance, liability for

Blockchain is the first global mechanism for the transfer and
storage of value. Despite being conceived as an alternative to
state and law, the technology and its use cases raise many legal
questions, most notably, regarding jurisdiction and applicable law
with respect to transactions and assets recorded on the blockchain.

zugeeignet Fragen der Eigenfinanzierung geh6ren sicher nicht zu
einem der aktuellen Problem bereiche der Betriebswirtschaftslehre.
Aber auch zuruckliegend hat die Literatur ihnen erheblich weniger
Aufmerksamkeit gewidmet als den Problemen der Fremdfinanzie rung.
Es lag daher nahe, einen Ausgleich zu versuchen. Die Bedeutung der
Gesamtkapitalstruktur fur den Wert der Unternehmung und des
Eigenkapitals wird seit 1958 diskutiert. Die Fremdkapitalstruktur
behandelte Swoboda 1973 systematisch. Eine entsprechend umfassende
Behandlung der Eigenkapitalstruk tur fehlt bisher. Sie wird auch
von dem vorliegenden Buch nicht angestrebt; der Verfasser
beschrankt sich vielmehr darauf, die Bedeutung der Struktur des
Eigenkapitalzuganges fur die Bewertung von Unternehmensanteilen zu
erfassen. Es ist unm ittelbar einsichtig, dar , diese Bedeutung in
erster Linie eine Foige des Systems der Ertrags-und Einkommens
besteuerung ist. Ais erster Schwerpunkt der Arbeit wird mithin der
Zusammenhang zwischen Besteuerungssystem und Aktienwerten

dieser Titel von Salmens Sozialgeschichte des Musikerberufs fasst
dessen Entwicklung treffend zusammen. Im Mittelalter hatten
lediglich die wenigen geistlichen Musiker einen festen, geachteten
sozialen Platz in der Gesellschaftsordnung. Die ubrigen Musiker
waren stark von ihren Auftraggebern abhangig und mussten deren
Wunsche mehr oder weniger unterwurfig erfullen. Die nicht
sesshaften Musiker, die heute mit dem Begriff Spielleute"
bezeichnet werden, gaben ein vielfaltiges Bild ab. Sie bestanden
aus Theologiekundigen, Ritterburtigen, Handwerkerssohnen Scholaren
und Bettlern und waren nicht nur soziale Aussenseiter, sondern auch
ehr- und rechtlos. Von der Justiz wurden sie wie Strassenrauber,
Morder und Asoziale behandelt (vgl. ebd., S. 36 f.). In der Neuzeit
trat das Ziel der Musiker, einer moglichst freien Musikausubung
nachzugehen, in den Vordergrund. Die Erfullung einer bestimmten
musikalischen Funktion war weniger entscheidend. Verschiedene
Emanzipierungsbestrebungen verfolgten das Ziel, den Musiker zu
einem sozial unabhangigen Freischaffenden werden zu lassen. Er
sollte seine Produktionen moglichst urheberrechtlich geschutzt, von
Kastenvorurteilen und Patronage befreit, selbst vermarkten.
Virtuosen bot die Neuzeit zunehmende Existenzgrundlagen. Ihre
Bedeutung wuchs dank zunehmender Hofhaltung, dem auf Primadonnen
und herausragende Sanger angewiesenen Opernbetrieb und der
steigenden Bedeutung des Konzerts, das die Schau- und Horgeluste

Bereich der klassischen als auch der popularen Musik geniessen
