Bachelorarbeit aus dem Jahr 2010 im Fachbereich BWL - Personal und Organisation, Note: 1,3, Universitat Passau (Wirtschaftswissenschaftliche Fakultat), Sprache: Deutsch, Abstract: Im Jahr 2007 wurde die amerikanische Wirtschaft von einer durch Spekulationen auf dem Finanz- und Immobilienmarkt verursachten Finanzkrise erschuttert, die sich negativ auf die gesamte Konjunktur in den USA ausgewirkt hat. Nach und nach ging diese Krise auf andere Lander und deren Volkswirtschaften uber und aus der amerikanischen Wirtschaftskrise wurde eine Weltwirtschaftskrise. Ein Grund fur diesen massiven Markteinbruch war das fehlende Verantwortungsbewusstsein der Manager. Vielen Fuhrungskraften wird vorgeworfen, verantwortungslos und unverhaltnismassig den Unternehmenswert aufgeblaht zu haben, um eine besonders hohe Vergutung zu rechtfertigen und durch die ihnen gewahrten Aktienoptionen einen hoheren Gewinn zu erlangen. Trotz der wirtschaftlichen Krise haben so allein im Jahr 2008 sieben Manager mehr als 100 Millionen Dollar verdient. Zwar wurden viele Manager, die eine Teilschuld am wirtschaftlichen Untergang ihrer Unternehmen hatten, entlassen, strichen dabei aber immens hohe Abfindungszahlungen ein, die in Anbetracht der verursachten Schaden umstritten waren. All diese Vorkommnisse haben erhebliche Diskussionen bezuglich der Vorstandsvergutung hervorgerufen. Auch in Deutschland sind die Millionengehalter der Vorstande, vor allem die der DAX-Unternehmen, in den Fokus der Offentlichkeit geraten. Immer haufiger wurde gefragt, ob solch hohe Vergutungen wirklich der tatsachlichen Arbeitsleistung entsprechen oder ob Manager einfach uberbezahlt sind. Deshalb forderten viele Kritiker eine gesetzliche Regelung, die den Eingriff in die Gehalter ermoglicht. Zwar gab es schon seit uber 70 Jahren solche Zugriffsmoglichkeiten im Aktiengesetz (AktG), hatte jedoch in der Praxis keinerlei Bedeutung.
