This timely and engaging book examines how maximizing shareholder
value has played a dominant role in corporate governance over
recent decades, and analyzes the resulting effect on share prices
in the stock markets. Alongside the rise in corporate power and
deepening economic inequality, the author investigates corporate
law reform as a corrective remedy. Beyond Shareholder Value offers
an astute analysis of key topics such as corporate incentive
structures that reward executives for delivering shareholder value
and permissive rules that enable companies to issue shares at will
at rising valuations. P.M. Vasudev explores the laws intended to
protect stakeholders and deftly unpacks the shortcomings in
employment-related laws and antitrust enforcement. Demonstrating
how alternative dispute resolution can be used to promote
stakeholder governance, the book explains how the overly broad
business judgment rule impedes effective adjudication of complex
stakeholder disputes. This insightful book offers a new perspective
on stakeholder governance, and will prove indispensable reading for
academics and legal researchers working in the field of corporate
law and governance. Its innovative approach will also benefit
practitioners and policy makers alike.
The world is changing. After old certainties were swept away by the
Financial Crisis of 2008-09, states are grappling with the
implications of new thinking about the role and nature of
corporations and how they should be regulated. This timely book
brings together the contributions of leading scholars from around
the world to highlight and provide critical analysis of
developments and trends in corporate governance in a range of
jurisdictions, both mature and developing. The diverse subjects
covered in the book include shareholder protection in Delaware,
trends in the governance of state-owned enterprises in China, say
on pay in the Netherlands, board committees in the UK, and
stakeholder governance in Germany. The book also includes
theoretical perspectives, including one chapter arguing against the
notions of shareholder primacy that underpin Anglo-American
corporate law. The final section presents two chapters on the
governance of banks, reflecting the contemporary importance of
financial institutions. Innovations in Corporate Governance offers
an essential global perspective on corporate governance that will
be of interest to students and academics in the field, as well as
professionals, policy makers and those working in regulatory
agencies around the world. Contributors include: F.A. Gevurtz, B.

Capital markets are a continuous stream of activity and innovation.
Constantly evolving and inherently dynamic, they give rise to
complex regulatory and policy issues and offer rich material for
analysis. Additionally, globalization has incentivized cross-border
listings and international flows of capital. Global Capital Markets
takes stock of recent trends and events by exploring their legal
and regulatory implications across several jurisdictions from
around the world. This book provides a critical analysis of current
issues including investor activism, the challenges of cross-border
regulatory enforcement and recent initiatives to empower
shareholders to improve corporate governance. It also surveys
longer-term trends such as the development of the nascent capital
markets law in China over the last two decades and discusses the
emerging issues from the increased use of dual class voting shares.

The policy framework advocated by Minford et al. . . . is grounded
in economic theory and an incisive empirical analysis of the costs
of UK's membership of the EU. Their thesis that the EU is a
political union practising economic protectionism in the guise of
gradualism towards free trade makes sense. . . . Minford and his
associates' analysis suggests that the EU's policy framework of
free trade for members but restrictions on trade of non-members
with the EU countries is a second best policy adopted to promote
political rather than economic objectives.' - V.N. Balasubramanyam,
Lancaster University, UK'The EU got the Nobel Prize for Peace in
2012, but such an award is not forthcoming for economics. In fact,
the EU faces a stern public discontent throughout Europe. For years
EU leaders have been unable to agree on almost anything. The
eurozone's toxic monetary embrace is a colossal failure that has
provoked misery in most of the participating countries and, worst
of all, suffocated the hopes of prosperity for many years to come.
The EU is no longer a venture that inspires people to run on
barricades to defend it. Should Britain be a part of the crumbling
EU project? This book provides a timely and documented answer. It
is highly recommended reading.' - Miroslav N. Jovanovi , University
of Geneva, Switzerland 'Much too much of the debate about the UK's
relationship with the European Union relies upon general
declarations unsupported by facts and assertions and claims not
substantiated by evidence. This is why we need so badly the careful
quantitative analysis provided by Patrick Minford and his
colleagues. The UK electorate will have a momentous decision to
take when the EU referendum takes place. History and emotions will
be important, but getting the facts straight is even more vital.' -
John Mills, Founder and Chairman of JML and Co-Chairman of Business
for Britain 'Patrick Minford and his team have performed a hugely
valuable service by quantifying the costs of Britain's EU
membership. In particular, they show that Britain pays too much for
too high a proportion of its imports. The EU's protectionism in its
trade with the rest of the world costs Britain a significant slice
of its national output. Their demonstration of this vital point is
thought-provoking and sophisticated, and greatly strengthens the
case for the UK to leave the EU.' - Tim Congdon, CBE, International
Monetary Research Ltd Placed in the context of the upcoming
referendum, this second edition brings up to date a thorough review
of all economic aspects of the UK's membership of the EU. It notes
the intention of the EU to move to 'ever closer union' and the
nature of the regulatory and general economic philosophy of its
dominant members, whose position is enforced by qualified majority
voting. The book highlights the UK s dilemma that, while extending
free markets to its local region is attractive, this European
philosophy and closer union are substantially at odds with the UK's
traditions of free markets and freedom under the common law. This
comprehensive examination of the economic costs and benefits of
membership uses state-of-the-art modeling methods and includes
estimates of its net costs as a percentage of GDP. The book
explains how the decision to leave would follow from a judgement on
the political economy of the EU as compared with that of the UK. It
details the misconceptions involved in much of the debate about
trade with the EU, and argues that the key issue is not access to
markets but rather the prices at which trade takes place. Covered
in careful detail is the economics of the UK's trade with the EU in
the key sectors of agriculture, manufacturing, and services.
In "Die 5
Dyfunktionen eines Teams" begibt sich Patrick Lencioni in die
faszinierende und komplexe Welt von Teams. In seiner

In The Five Dysfunctions of a Team Patrick Lencioni once again offers a leadership fable that is as enthralling and instructive as his first two best-selling books, The Five Temptations of a CEO and The Four Obsessions of an Extraordinary Executive. This time, he turns his keen intellect and storytelling power to the fascinating, complex world of teams. Kathryn Petersen, Decision Tech's CEO, faces the ultimate leadership crisis: Uniting a team in such disarray that it threatens to bring down the entire company. Will she succeed? Will she be fired? Will the company fail? Lencioni's utterly gripping tale serves as a timeless reminder that leadership requires as much courage as it does insight. Throughout the story, Lencioni reveals the five dysfunctions which go to the very heart of why teams even the best ones-often struggle. He outlines a powerful model and actionable steps that can be used to overcome these common hurdles and build a cohesive, effective team. Just as with his other books, Lencioni has written a compelling fable with a powerful yet deceptively simple message for all those who strive to be exceptional team leaders.
In his classic book, The Five Dysfunctions of a Team, Patrick
Lencioni laid out a groundbreaking approach for tackling the
perilous group behaviors that destroy teamwork. Here he turns his
focus to the individual, revealing the three indispensable virtues
of an ideal team player. In The Ideal Team Player, Lencioni tells
the story of Jeff Shanley, a leader desperate to save his uncle '
company by restoring its cultural commitment to teamwork. Jeff must
crack the code on the virtues that real team players possess, and
then build a culture of hiring and development around those
virtues. Beyond the fable, Lencioni presents a practical framework
and actionable tools for identifying, hiring, and developing ideal
team players. Whether you re a leader trying to create a culture
around teamwork, a staffing professional looking to hire real team
players, or a team player wanting to improve yourself, this book
will prove to be as useful as it is compelling.
The aim of this book is to provide detailed coverage of the topics
in the new OCR AS and A Level Computer Science specifications H046
/ H446. The book is divided into twelve sections and within each
section, each chapter covers material that can comfortably be
taught in one or two lessons. Material that is applicable only to
the second year of the full A Level is clearly marked. Sometimes
this may include an entire chapter and at other times, just a small
part of a chapter. Each chapter contains exercises and questions,
some new and some from past examination questions. Answers to all
these are available to teachers only in a free Teacher's Pack which
can be ordered from our website www.pgonline.co.uk. This book has
been written to cover the topics which will be examined in the
written papers at both AS and A Level. Sections 10, 11 and 12
relate principally to problem solving skills, with programming
techniques covered in sufficient depth to allow students to answer
questions in Component 02. Pseudocode, rather than any specific
programming language, is used in the algorithms given in the text.
Sample Python programs which implement many of the algorithms are
included in a folder with the Teacher's Pack.
The blockbuster bestseller now in a manga edition--fully
illustrated and fun to read
Beautifully illustrated by Kensuke Okabayashi, this enthralling
edition of Patrick Lencioni's massive bestseller gives readers a
new format in which to understand the fascinating, complex world of

threatens to bring down the entire company. Will she succeed? Will
she be fired? Will the company fail? Lencioni's gripping tale
serves as a timeless reminder that leadership requires as much

Educational Alliance Art School in New York City.
His contemporaries recognised John Donne (1572-1631) as a
completely new kind of poet. He was, wrote one enthusiast,
'Copernicus in Poetrie'. But in the winter of 1614-15 Donne
abandoned part-time versification for full-time priestly ministry,
quickly becoming one of the most popular preachers of his time.
While his verse has never been short of modern admirers, his
sermons have recently begun to receive their full share of serious
attention. Yet there exists almost no theologically-informed
criticism to assist readers with navigating, let alone
appreciating, the intricacies of Donne's religious thinking. The
need for such criticism is especially urgent since many readers
approach his writing today with little previous knowledge of
Christian doctrine or history. This book supplies that deficiency.
Starting from the assumption that theology is inevitably the
product of the human imagination, a perception that is traced back
to major early Christian writers (and something that Donne
implicitly acknowledged), it probes the complex amalgam that
constituted his ever-shifting vision of the deity. It examines his
theological choices and their impact on his preaching, analysing
the latter with reference to its sometimes strained relationship
with Christian orthodoxy and the implications of this for any
attempt to determine how far Donne may legitimately be viewed as a
mouthpiece for the Jacobean and Caroline Church of England. The
book argues that the unconventionality that characterises his verse
is also on display in his sermons. As a result it presents Donne as
a far more creative and risk-taking religious thinker than has
previously been recognised, especially by those determined to see
him as a paragon of conventional Christian orthodoxy.
Addresses a gap in the market between policy and academia. Broad
readership given the focus on climate change action, a hugely
topical area. Interdisciplinary approach - politics, IPE,
international economics, and environmental economics. Written in an
accessible voice/style.
A guide to wave-field computational methods based on contrast
source type of integral equations Forward and Inverse Scattering
Algorithms Based on Contrast Source Integral Equations presents a
text that examines wave-field computational methods based on
contrast source type of integral equations and the computational
implementation in wave-field based imaging methods. Written by a
noted expert on the topic, the book provides a guide to efficient
methods for calculating wave fields in a known inhomogeneous
medium. The author provides a link between the fundamental
scattering theory and its discrete counterpart and discusses the
forward scattering problem based on the contrast-source integral
equations. The book fully describes the calculation of wave fields
inside and outside a scattering object with general shape and
material property and reviews the inverse scattering problem, in
which material properties are resolved from wave-field measurements
outside the scattering object. The theoretical approach is the
inverse of the forward scattering problem that determines how
radiation is scattered, based on the scattering object. This
important book: Provides a guide to the effects of scalar waves,
acoustic waves and electromagnetic waves Describes computer
modeling in 1D, 2D and 3D models Includes an online site for
computer codes with adjustable configurations Written for students,
researchers, and professionals, Forward and Inverse Scattering
Algorithms Based on Contrast Source Integral Equations offers a
guide to wave-field computational methods based on contrast source
type of integral equations and the computational implementation in
wave-field based imaging methods.
