The subject of the present work is the reform of consumer credit
law at European level. Following a description of the historical
development and the currently valid legal situation, legal and
material problems are demonstrated by means of the current legal
situation. The proposed reforms for a new consumer credit directive
are examined and analysed in detail.

This thesis examines the communication of vision in entrepreneurial
companies, a process, which is necessary and commonly encountered
by organizations that have already been in business for a few
years. The communication of vision, and thus entrepreneurial
spirit, is crucial for young companies because it typically
constitutes the foundation of their current and also future
success. This thesis will draw upon data gathered in an
entrepreneurial company, which is at a point where it has to hire
new employees and communicate its vision to them. A theory on the
communication of vision will be created based on the examination of
the primary research data collected at this company.

and acquisitions (M & A) are a form of corporate expansion and
growth. They are not the only means of growth for a company, but
they are an alternative to growth by internal or organic capital
investments. (Sudarsanam, (1995) p. 1) The first decade of the new
millennium was an era of global mega-mergers. Several factors like
readily available credit, low interest rates, technological change
and global competition fueled M & A activity and in 2007, M
& A transactions reached a new record dollar volume worldwide.

important means of removing underperforming managers or companies
and transferring resources to where they are most needed.

evidence that many M & A activities remain unsuccessful.
Estimated failure rates are typically between 60 and 80 percent.
(Homburg and Bucerius, (2006) p. 347) Due to these high failure
rates, it seems unreasonable for a company to engage in an M &
A transaction, but still, more and more companies decide to do
exactly that. Given the high failure rates of mergers and
acquisitions, this topic is one that is of high significance and
has been extensively researched in the past. This paper aims to
collect the most important research that has been done on the topic
of M & A motive, structure it and emphasize crucial findings.
The first part of this paper introduces the reader to the world of
mergers and acquisitions. After defining mergers and acquisitions,
a brief overview of the various types and objectives is given. The
next part of the paper informs the reader about the different
motives, which may lead executives to engage in M & A

and Law), Sprache: Deutsch, Abstract: Bis Juni 2010 konzipierte das
Allgemeine burgerliche Gesetzbuch (ABGB) alte Fassung (aF) den
Darlehensvertrag als Realkontrakt. Verpflichtungsgrund war somit
nicht die Willensubereinkunft der Parteien, sondern die
tatsachliche Ubergabe - also etwa die Uberweisung von Geld auf ein
Konto. Diese Regelung wurde beim entgeltlichen Darlehen als
unpraktikabel und wenig zeitgemass empfunden, da sie einen
Darlehensvertrag erst mit Zuzahlung der Valuta zustande kommen
liess. Im Zuge der Umsetzung der Verbraucherkredit-Richtlinie (RL)
trat im Juni 2010 das Darlehens- und Kreditrechts-Anderungsgesetz
(DaKRAG) in Kraft. Durch dieses Gesetz wurde nicht nur die RL
umgesetzt, sondern auch das Darlehensrecht des ABGB umfassend
reformiert. Die 983 ff ABGB losten sich von der bisherigen
Realvertragskonstruktion und folgen nun dem Konsensualprinzip,
welches bei den meisten Vertragstypen im ABGB schon existierte und
den heutigen Bedurfnissen und Anschauungen entspricht. Nunmehr
bringt bereits die blosse Willensubereinkunft einen voll wirksamen
Vertrag zustande. Ziel dieser Seminararbeit ist es, einen Uberblick
uber das neue Darlehensrecht des ABGB zu geben. Es soll die
Bedeutung dieser Anderungen aufgezeigt werden. Diese Arbeit
beschrankt sich auf die 983 ff ABGB, Ziel dieser Arbeit ist es
daher nicht, samtliche Anderungen durch das DaKRAG zu untersuchen.
Weiters beschrankt sich diese Arbeit auf den Darlehensvertrag im
Allgemeinen und geht nicht naher auf die Sonderform des
Kreditvertrags e
