Man kann die RFID-Systeme als eine Weiterentwicklung des klassischen Bar-Codes sehen. Auch fur ein RFID-System wird ein Lesegerat und ein Transponder benotigt. Die Kommunikation findet uber Radiowellen statt, deswegen erhalten Lesegerat und Transponder eine Antenne und fur die Datenspeicherung noch einen zusatzlichen Chip. Bar-Code- und RFID-Systeme gliedern sich in die Gruppe der Auto-ID-Systeme ein, das heisst Objekte konnen automatisch und dadurch maschinell lesbar gemacht werden. Ein grosses Nutzpotential weisen die RFID-System dadurch auf, dass bei dieser Technologie kein menschliches Eingreifen erforderlich ist. Dieser Vorteil entsteht durch den Einsatz von Radiowellen. Diese benotigen zum Einlesen und Schreiben von Daten keinen direkten Sichtkontakt. Des weiteren ist es moglich mehrere Objekte gleichzeitig zu erkennen und Daten auf den Chips der Objekte zu verandern bzw. abzulegen. Aber jede Technologie hat auch ihre Schattenseite, bei RFID zeigen sich Probleme in Umgebungen mit viel Metall und Wasser. Da aber Industrieanlagen dies sehr oft aufweisen, wurde in den letzten Jahren eine neue Technologie entwickelt. Es handelt sich dabei um RuBee (IEEE 1902.1), die es ermoglicht den Einsatz von Transponder in Metallischer Umgebung und unter Wasser zu nutzen. Gesetzgeberische Aktivitaten sowie Anderungen in der Rechtsprechung sorgen dafur, dass dieses Entscheidungsproblem stets aktuell bleibt. Die Rechtsformwahl muss auch keine Entscheidung auf Dauer sein. Bei Anderung der Ausgangslage, etwa durch Veranderung der gesetzlichen Rahmenbedingungen oder durch Veranderung der betrieblichen Verhaltnisse, kann ein Rechtsformwechsel eine zweckmassige Entscheidung darstellen. Das deutsche Steuerrecht hat fur die verschiedenen Unternehmensformen keine einheitliche Besteuerungskonzeption entwickelt. Daraus folgt, dass teilweise erhebliche Steuerbelastungsunterschiede insbesondere zwischen Kapital- und Personengesellschaften bestehen. Durch die Unternehmenssteuerreform werden sich die Rechtsformunterschiede mit Wirkung ab 2001/2002 noch einmal erheblich verandern. Die steuerliche Situation im Vergleich zwischen Personen- und Kapitalgesellschaften wird sich kunftig teilweise drastisch in Abhangigkeit von der Hohe der Ertrage bzw. von einer Verlusterwartung, in Abhangigkeit von der geplanten Gewinnverwendung oder von Anteilsverausserungen, in Abhangigkeit von Finanzierungsmassnahmen und Investitionen andern.
