The authoritative resource for analyzing mergers and acquisitions
(M&A) from every angle Paul Pignataro reveals the secrets
behind growth through M&A in his new book, Mergers,
Acquisitions, Divestitures, and Other Restructurings + Website.
Through market shifts and regulatory changes, M&A has served as
a solid approach to growth. Creating value through mergers and
acquisitions is a highly coveted strategy, and Wall Street has long
sought a clear technical understanding of the components of M&A
as a key driver of growth. In this book, the author provides that
understanding, covering all essential aspects of accounting and
modeling for the M&A process. With over a decade of experience
aiding billion-dollar restructuring deals, Paul Pignataro is in an
excellent position to break down M&A from a finance standpoint.
Mergers, Acquisitions, Divestitures, and Other Restructurings
covers the financial accounting and modeling behind several M&A
structures. Using the merger of Office Depot and Office Max, Mr.
Pignataro fully addresses the entire integration, explains EBITDA,
and other crucial performance measures. This text is for finance
practitioners who want to explore every corner of the M&A
process. * Learn accounting for asset acquisitions, asset
divestitures, and corporate mergers * Explore modeling methods
including mini-merger modeling and fully consolidated merger
modeling * Read case studies demonstrating the practical success of
theoretical models * Understand EBITDA, cash flow, capital
structure, and their impact on M&A success and value creation
This new text from the CEO and founder of the New York School of
Finance is key for understanding how restructuring leads to growth
and value creation. The importance of M&A shows no signs of
slowing, meaning that finance professionals need to be able to
accurately analyze the prospects and impacts of restructuring
moves. Mergers, Acquisitions, Divestitures, and Other
Restructurings + Website is the authoritative resource for doing
just that.
The European Young Chemist Award has now been awarded four times
(2006, 2008, 2010 and 2012). The authors of the previous books
based on the competition have become some of the leading scientists
in Europe. These books truly provide a glimpse into the future
research landscape of European chemistry. Fifteen top contributions
have been selected for this single volume covering areas of
chemistry and materials science. The broad range of themes is
presented in an approachable and readable manner equally
appropriate for non-specialists on the topic. The overview of
intriguing topics includes chemical synthesis and advanced
methodologies as well as materials, nanoscience and
nanotechnologies.
The issue of asymmetric information and public decision-making has
been widely explored by economists. Most of the traditional
analysis of public sector activities has been reviewed to take
account of the different incentive problems arising from an
asymmetric distribution of relevant information among the actors of
the public decision-making process. A normative approach has been
developed, mainly employing the principal agent paradigm to design
incentive schemes which tackle adverse selection and moral hazard
problems within public organizations. Still, this analysis is under
way in many fields of public economics. However, a debate is
ongoing on the theoretical limitations of this approach and on its
relevance for the actual public sector activities. Public
Decision-Making Processes and Asymmetry of Information encompasses
different contributions to these issues, on both theoretical and
practical areas. The innermost problem in the current discussion
arises from the fact that this normative analysis is firmly rooted
in the complete contracting framework, with the consequence that,
despite the analytical complexities of most models, their results
rely on very simplified assumptions. Most complexities of the
organization of public sector, and more generally, of writing
"contracts," are therefore swept away. Once the need for an
incomplete contracting approach is recognized, the question becomes
how to relax some of the assumptions characterizing the complete
contracting framework, without getting ad hoc results. The
Introduction to this book, written by Jean Jacques Laffont, sets
the general grid to interpret the position of its papers in this
debate. The four papers in Part 1 of thebook are devoted to
developing the analysis of some of the theoretical issues mentioned
in the Introduction. Part 2 is devoted to discussing the
applications of the theory to different public sector activities.
This volume represents one of the two edited by inviting a

The study of structural instability plays a role of primary
importance in the field of applied mechanics. Despite the
remarkable progresses made in the recent past years, the structural
instability remains one of the most challenging topics in applied -
chanics. Many problems have bee:: solved in the last decades but
still many others remain to be solved satisfactorily. The
increasing number of papers published in jo- nals and conferences
organized by ECCS, SSRC, IUTAM, and EUROMECH strongly indicates the
interest of scientists and engineers in the subject. A careful
examination of these publications shows that they tend to fall into
one of the two categories. The first is that of practical design
direction in which methods for analyzing specific stability
problems related to some specific structural typologies are
developed. The research works are restricted to determining the
critical load, considering that it is sufficient to know the limits
of stability range. These studies are invaluable since their aim is
to provide solutions to practical problems, to supply the designer
with data useful for design and prepare norms, specifications and
codes. The second direction is that of theoretical studies, aiming
at a mathematical modeling of the instability problems, for a
better understanding of the phenomena. In these studies, special
emphasis is placed on the behavior of structures after the loss of
stability in the post-critical range. This approach is less
familiar to designers as its results have not yet become part of
current structural design practice.

This book assesses the capabilities and benefits of connecting
people, processes, data and things into the Internet of Everything
(IoE). It begins by surveying the government and industrial sectors
for current social and business challenges that are solvable using
IoE. Within this section, the business and technology drivers for
making the switch to IoE are covered. Examples include: rapid
increases in the number and types of IP enabled devices, volume of
new data streams emanating from these new devices and the easy
access to cloud systems for data computation and analysis.
Additionally, the book expands on the concepts of Data Fabrics
applied to IoE Next, the book explains how IoE enables
organizations to ramp the rate of new service creation and delivery
of those services. These services are not feasible unless an
underlying system can connect, integrate and reconcile data from
previously unconnected and disparate functions. In addition, the
underlying system must provide contextual perspective when
presenting the data to enable optimal decisions that take all
interactions and reactions into account. The latter portion of this
text explains several barriers to IoE system adoption including
integration with legacy IT systems and management systems using
proprietary protocols. Using service models and service delivery
mechanisms these barriers are removed. This book explains how this
is done and what new capabilities are enabled in an IoE enabled
network of people, processes, data and things.
When Joe Pignataro embraced the decision to embark on the challenge
of walking the Kokoda Trek little did he know that he would have
tougher challenges to face beforehand. This book is an open and
honest journey of how one young man found strength through the loss
of his close friend Chris Lane to a senseless shooting in the US.
Joe grows in strength of both body and mind throughout his journey
and ultimately finds himself along the way.
IN MORE THAN seventeen years of investigative reporting for
magazines and newspapers, Anthony Pignataro has written numerous
essays about life in the underbellies of seemingly upscale
communities: Orange County and Sacramento in California, and on the
tropical island paradise of Maui, Hawaii, where he has made his
home since 2003 and is editor of the alternative weekly newspaper
MauiTime. Pignataro's steamy Charley Ridgway novels of hardboiled
action and noir intrigue, Small Island and The Dead Season
(published in 2011 and 2012 by Event Horizon Press), have made
their mark with lovers of dark adventures. Stealing Cars With The
Pros collects thirty-three true stories that helped inspire his
suspenseful fiction writing.
BASED ON A TRUE STORY: The U.S. Navy was among the first responders
on 9/11. Entrusted with the iconic Ground Zero flag, the Roosevelt
battlegroup took to the seas searching out those responsible, and
to bring justice to a nation in mourning. 1145 September 2001, the
U.S.S. Leyte Gulf deployed within hours of the attack on the W.T.C.
with orders to shoot down and destroy any "birds not squawking"
over New York City. The Ground Zero flag flew with pride and
determination from our mast, giving us strength on our important
mission. After two days we were then redirected to the gulf and
given orders to destroy the Taliban with the Tomahawk missiles
onboard. During transit, we were told by our Captain that the
Taliban would be waiting for us in the narrow Suez canal. So narrow
in fact, only a single ship can go through at any one time. If the
first and last ship were to be hit by surface to air missiles,
there would be no way out. The aircraft carrier U.S.S Roosevelt,
would be trapped in the middle and defenseless. There they were,
waiting for us on horseback atop the sandy Suez dunes...following
us. Just a bunch of scared kids manning the ships guns, wondering
what was to happen next. What followed would change our lives
forever. This is my sea story.

Charley Ridgway is a former US Army officer turned resort bartender
on the Hawaiian island of Maui. Ridgway is bored by the seeming
lack of intellectual and creative pursuits in the dream vacation
community. One night at the bar, he and fellow bartender Bill
Hersey meet Clarissa Daniels. As Ridgway flirts with the former
B-Movie actress, a young thief attempts to rob the bar's cash
register. Ridgway chases him across the resort and fights him,
holding his own because of his army training, but the hoodlum is
similarly skilled and escapes. The next day Ridgway learns Hersey
was jumped by several men after his shift ended, and is in bad
shape. After visiting Bill in his hospital room, Ridgway meets up
with Clarissa. They spend the night together and Ridgway learns she
is the kept girlfriend of rich real estate developer Jack Rhodes.
Ridgway discovers Hersey was complicit in the robbery at the bar,
trying to pay off gambling debts owed to a syndicate of crooked
Maui cops. Finding evidence that one of the cops is a muscle for
Rhodes as well as an investment partner in a new luxury
development, Ridgway begins a delicate and dangerous balancing act,
trying to seduce Clarissa away from Rhodes. The bad cops become
violent when Ridgway gets too close in his attempt to shut them
down. They beat him up and leave him for dead in a sugar cane field
set on fire. Everything rings true in this tightly crafted and
highly believable narrative. SMALL ISLAND is a suspenseful
fast-moving page-turner of steamy sex and urban criminal violence
played out against the backdrop of a beautiful tropical island. The
author of this finely crafted novel, Anthony Pignataro, speaks of
Hawaiian culture without being patronizing, and discloses some of
the traps of living in Paradise that are seldom seen by visiting
vacationers.
