In 2015, the United Nations formulated 17 ambitious goals towards transforming our world the Sustainable Development Goals (SDG 2030). Their relation to public international law has been studied, but private law has received less attention in this context and private international law none at all. Yet development happens, not only through public action, but also through private action and such action is governed predominantly by private law and private international law. This book demonstrates an important, constructive role for private international law as an indispensable part of the global legal architecture needed to turn the SDGs into reality. Renowned and upcoming scholars from around the world analyse, for each of the 17 SDGs, what role private international law actually plays towards advancing these goals and how private international law could, or should, be reformed to advance them. Together, the chapters in the book bring to the fore the hitherto lacking private side of transforming our world.

This tribute to Professor Arthur von Mehren from the Harvard Law School is a contribution to the evolving transatlantic dialogue on the conflict of laws. It contains ten contributions that discuss the problems conflict of laws is facing in a globalized world. The first five contributions deal with current legal topics in international civil litigation and transatlantic judicial co-operation ranging from the design of judgments conventions to the recently adopted Hague Convention on Choice of Court Agreements, and from problems involving negative declaratory actions in international disputes to recent transatlantic developments relating to service of process and collective proceedings. The remaining five contributions focus on choice of law in international relationships. They cover comparative and economic dimensions of party autonomy, reflect on discussions in the choice of law relating to intellectual property rights, and critically discuss the applicable law in antitrust law litigation, international arbitration, and actions for punitive damages.

Stefan Schneider zeigt, dass aufgrund des evidenten methodischen Unterschieds der Aktivierungskonzeptionen beider Bilanzierungsregeln die Auslegung der IFRS unter Heranziehung der US-GAAP beim Bilanzierungsobjekt Softwareentwicklung abzulehnen ist. Stattdessen prasentiert er eine originare Auslegung des IAS 38, der die Bilanzierung immaterieller Vermogenswerte regelt.

Marktbedingungen und technologische Entwicklungen machen bei mehrstufiger Linienfertigung eine detaillierte Planung und Steuerung der Produktionsprozesse erforderlich, die eine rechtzeitige Erkennung und planerische Bewaltigung von Kapazitats- und Materialengpassen voraussetzt. Konventionelle Planungsverfahren erfullen diese Anforderungen nicht. Deshalb wurde ein Verfahren zur engpassorientierten Planung und Steuerung der Ressourcen bei mittelfristiger simultaner Mengen- und Terminplanung entwickelt. Der Verfahrensablauf enthalt dazu spezielle Aktionsparameter, die eine bestandsbezogene planerische Engpassbewaltigung ermoglichen. Dieses Planungsverfahren mit integrierter Engpasserkennung und -bewaltigung ist bereichsubergreifend sowohl in der Montage als auch in der Teilfertigung einsetzbar. Es hat seine Praxistauglichkeit in einem Produktionsbereich eines Unternehmens des Fahrzeugbaus bewiesen.

Die Notwendigkeit der Beschaffung weiteren Eigenkapitals stellt personenbezogene Unternehmungen, d. h. Unternehmungen, die von wenigen natUrlichen Anteilseignern beherrscht werden, in vielen Fallen vor besondere Probleme. Das ist vor all em dann der Fall, wenn als Ausweg nur die Beteiligungsfinanzierung bleibt, d. h. die Eigenkapitalbe schaffung durch Beteiligung nicht zum Kreis der beherrschenden Anteilseigner zah lender Personen. Die Beteiligungsfinanzierung bedarf der zielgerichteten Gestaltung, wobei einerseits das Interesse der beherrschenden Anteilseigner, ihre beherrschende Stellung auf Dauer zu erhalten, und andererseits deren Vermogensinteresse zu berucksichtigen sind. Damit ist der Gegenstand der vorliegenden Arbeit angesprochen. Es wird systema tisch herausgearbeitet, welch vielfaltige Gestaltungsmoglichkeiten der Beteiligungsfi nanzierung durch die Emission borsengehandelter Wertpapiere bestehen, und es werden diese Gestaltungsmoglichkeiten umfassend aus der Sicht der berrschenden Anteilseigner beurteilt. Es konnen Aktien oder eigenkapitalmaBig ausgestaltete Ge nuBscheine emittiert werden, die emittierende Gesellschaft kann die Rechtsform der Aktiengeselschaft oder der Kommanditgesellschaft auf Aktien haben, die Emission kann von einer Gesellschaft vorgenommen oder die Unternehmung kann rechtlich in mehreren Gesellschaften organisiert werden, damit mehrere Gesellschaften Beteili gungspapiere emittieren konnen (Konzernlosung). SchlieBlich bestehen vieltaltige Moglichkeiten zur Ausgestaltung der Vermogens-und Verwaltungsrechte der Beteili gungskapitalgeber wie der beherrschenden Anteilseigner."

"Private law beyond the state" is a topic that is fashionable, important, and widely discussed. Yet it presents so many different aspects and perspectives that it has, so far, remained remarkably poorly understood. Precisely because globalization moves the law "beyond the state", lawyers find themselves forced to rethink private law and its relation to the state. This volume brings together contributions of leading scholars from the United States, Israel and Germany exploring the topic from different perspectives: legal history, law and economics, legal sociology, private international law, and law and anthropology. They aim at clarifying and structuring current debates, focussing on the historical, conceptual, and epistemological relations between private law and the state as well as on their relevance for legal argument; on the actors involved in processes connecting and dividing private law and the state; and on the fundamental normative questions that result from these processes.
