Im Anschluss daran ist eine lebhafte Diskussion uber die Frage entstanden, ob die Rechtsform der deutschen Kapitalgesellschaft bzw. das gesamte deutsche Kapitalgesellschaftsrecht kraft dieser Entscheidung uberholt ist. Dem Urteil zu Folge steht namlich fest, dass eine Kapitalgesellschaft, die in einem EU-Mitglieds-staat wirksam gegrundet wurde, in allen anderen Mitgliedstaaten als solche anzuerkennen ist, auch wenn sie ihren tatsachlichen Verwaltungssitz und ihre Haupttatigkeit im Aufnahmestaat hat. Demnach wird befurchtet, dass kunftig mit einer wachsenden Zahl von Gesellschaften mit fremdem Gesellschaftsstatut (eines anderen EG-Mitgliedstaates) und Sitz in Deutschland zu rechnen ist. Die unternehmerische Entscheidung vor der Grundung einer Gesellschaft beschrankt sich nicht mehr auf die Wahl zwischen der deutschen GmbH und anderen moglichen Gesellschaftsformen, sondern es sind nach der aktuellen Rechtsprechung des EuGH zur Niederlassungsfreiheit auch auslandische Rechtsformen zu berucksichtigen. Dort wird auch auf die konzerninterne Entsendung eingegangen (Konzernprivileg). Hierbei wird deutlich, dass sich ein Transportgewerbe nicht auf 1 Abs. 3 Nr. 2 AUG berufen kann, wenn das GuKG gilt. Diesem folgt eine nahere Betrachtung von Monopolen aus volkswirtschaftlicher Sicht. Da die EFD einerseits aus dem Bereich der Vereinigten Staaten stammt und auf deutscher und europaischer Ebene eine zeitlich versetzte Ubernahme stattfand und andererseits die Doktrin auf vollig unterschiedlichen Rechtsgrundlagen fusst, wird im Anschluss eine getrennte Darstellung der Entwicklung und Anwendung der EFD im amerikanischen und insbesondere im deutschen und europaischen Recht vorgenommen. Hierbei wird aufgrund des ansteigenden Verbreitungsgrades sowie der hohen datenschutzrechtlichen Relevanz fur B2C-Geschafte P3P schwerpunktmassig betrachtet. Das Ziel der Arbeit besteht darin, elektronische Bestellsysteme in Bezug auf die Umsetzung von datenschutzrechtlichen Anforderungen zu beurteilen sowie Datenschutz-Technologien im B2C-Bereich aufzuzeigen. Der uberwiegende Teil der deutschen Bevolkerung gehort dem System der Gesetzlichen Krankenversicherung (GKV) an. Ein geringerer Teil hat die Moglichkeit, zwischen der privaten und der gesetzlichen Krankenversicherung zu wahlen. Ersatzkassen als Teil des gesetzlichen Krankenversicherungssystems, gekleidet in die Rechtsform einer Korperschaft des offentlichen Rechts, nehmen hierbei eine besondere Rolle ein, da sie aufgrund ihrer geschichtlichen Wurzeln ebenfalls einen privatrechtlichen Charakter aufwiesen.3 Ziel dieser Ausarbeitung ist es, einen moglicherweise vorhandenen Wettbewerb zwischen Ersatzkassen und Privatversicherungen nach lauterkeitsrechtlichen Aspekten zu untersuchen.
