This book examines the effect of the adoption of the United Nations Committee on International Trade Law (UNCITRAL) Model Law on Cross-Border Insolvency in five common law jurisdictions, namely Australia, Canada, New Zealand, the United Kingdom, and the United States of America. It examines how each of those states has adopted, interpreted and applied the provisions of the Model Law, and highlights the effects of inconsistencies by examining jurisprudence in each of these countries, specifically how the Model Law affects existing principles of recognition of insolvency proceedings. The book examines how the UNCITRAL Guide to enactment of the Model Law has affected the interpretation of each of its articles and, in turn, the courts' ability to interpret and hence give effect to the purposes of the Model Law. It also considers the ability of courts to refer to amendments made to the Guide after enactment of the Model Law in a state, thereby questioning whether the current inconsistencies in interpretation can be overcome by UNCITRAL amending the Guide.
Der Autor befasst sich mit der Ausarbeitung eines Haftungskonzepts bei der Durchfuhrung von Sanierungsmassnahmen. Die Thematik hat durch einen Richtlinienvorschlag der EU-Kommission vom 22.11.2016 zusatzliche Aktualitat erlangt. Zudem erfolgen Sanierungsmassnahmen regelmassig im Anwendungsbereich verschiedener Rechtsgebiete, so dass eine Abstimmung der jeweiligen normativen Zielsetzungen erforderlich ist. Der Autor untersucht das mehrpolige Interessengeflecht, mit welchem sich ein Geschaftsfuhrer konfrontiert sieht. Er beschrankt sich nicht auf eine rein juristische Betrachtung, sondern zieht zur interdisziplinaren Argumentation auch Erkenntnisse der Rechtsoekonomik heran. Der Autor stellt dem status quo der Rechtsprechung und Literatur eigenstandige Loesungsansatze gegenuber.

Einerseits spielt es eine entscheidende Rolle, ob vom Entgelt fA1/4r eine vereinbarte Leistung ausgegangen werden kann oder ob durch eine Nebeneinrede Kosten A1/4berwAlzt werden. Andererseits sollen Klauseln A1/4ber Entgelte und ihre A"nderung hinreichend bestimmt und fA1/4r den Kunden nachvollziehbar sein.Der e-Commerce von Kreditinstituten gewinnt infolge der technischen Entwicklung, namentlich etwa fA1/4r Anwendungen des online-banking, steigende Bedeutung und bringt zahlreiche Rechtsfragen mit sich, z.B. hinsichtlich der VertragsabschlA1/4sse bei Kommunikation im Internet und der dabei zu wahrenden Datensicherheit.

This book provides a comprehensive and systematic overview of the main topics of taxation in European law. The sequence of arguments follows an institutional logic, respecting the academic tradition of tax law. This book offers the analysis of the relationship between the Cape Town Convention and national laws on secured transactions. The first part of the book considers why national implementation is so important in the case of the Cape Town Convention and identifies how innovative the Convention is as a uniform law instrument. The second part includes chapters on those states that are Parties to the Cape Town Convention, which analyse how the Convention is implemented under the domestic law. The third part includes chapters on those states that are not Parties to the Convention, which compare their national laws and the Convention to find unique features of the Cape Town Convention's rules. This book addresses concerns with the international trade and investment dispute settlement systems from a statist perspective, at a time when multilateralism is deeply questioned by the forces of mega-regionalism and political and economic contestation. In covering recent case law and theoretical discussions, the book's contributors analyze the particularities of statehood and the limitations of the dispute settlement systems to judge sovereign actors as autonomous regulators. From a democratic deficit coupled with a deficit of legitimacy in relation to the questionable professionalism, independence and impartiality of adjudicators to the lack of consistency of decisions challenging essential public policies, trade and investment disputes have proven controversial. These challenges call for a rethinking of why, how and what for, are States judged. Offene Immobilienfonds gerieten ab dem Jahr 2008 im Zuge der dramatischen Entwicklungen auf den Finanzmarkten in erhebliche Schwierigkeiten. Erstmals verloren Anleger in groesserem Umfang ihr angelegtes Kapital. In diesem Zusammenhang ergriff der Gesetzgeber sowohl auf nationaler als auch auf europaischer Ebene Massnahmen, welche sich nun u.a. im Kapitalanlagegesetzbuch (KAGB) wiederfinden. Die Arbeit beschaftigt sich mit der Frage, ob durch das neu gestaltete Investmentrecht nun sachgerechte Rahmenbedingungen zur langfristigen Stabilisierung des offenen Immobilienfonds geschaffen wurden. Die Autorin regt hierbei auch alternative Ansatze an, beispielsweise die verpflichtende Boersennotierung von Anteilen nach schweizerischem Modell.
Die Untersuchung uber steuerliche Nichtanwendungsgesetze nimmt ihren Ausgang in der Breitenwirkung und der Veroeffentlichung der Rechtsprechung des Bundesfinanzhofs (BFH). Die Arbeit zeigt die verschiedenen Reaktionsmoeglichkeiten der Exekutive und Legislative auf die Rechtsprechung des BFH. Das Nichtanwendungsgesetz steht hierbei im Fokus der Betrachtung, weshalb mehr als 160 steuerliche Nichtanwendungsgesetze systematisch analysiert und typologisiert werden. Die verfassungsrechtlichen Fragestellungen von Nichtanwendungsgesetzen werden insbesondere unter den Aspekten der Gewaltenteilung, Gewaltenbindung und des Gesetzgebungsverfahrens thematisiert. Eine rechtspolitische Wurdigung der Nichtanwendungsgesetzgebung rundet die umfassende Darstellung der steuerlichen Nichtanwendungsgesetze ab.
Der Band untersucht die Auswirkungen des Bilanzrechtsmodernisierungsgesetzes (BilMoG) auf den gesellschaftsrechtlichen Kapital- und Glaubigerschutz. Das BilMoG verfolgt das Ziel, den Informationswert von Jahresabschlussen unter Beibehaltung des Glaubigerschutzniveaus zu steigern. Der Gesetzgeber fuhrte eine ausserbilanzielle Ausschuttungssperre ein, die unsichere Vermoegensgegenstande bei der Ermittlung des ausschuttungsfahigen Vermoegens eliminiert. Trotz dieser minimal-invasiv wirkenden Massnahme wurde ein Paradigmenwechsel eingelautet: Der ausschuttungsfahige Gewinn ist fortan nicht mehr aus der Bilanz ersichtlich, sondern nur noch in Zusammenschau mit Angaben im Anhang ermittelbar. Das Vorsichtsprinzip hat zulasten der Informationsfunktion eine Schwachung erfahren.
